Purchase Offer Terms & Conditions

The “Shareathon Twitter Promotion” (“Promotion”) consists of the following two (2) distinct promotional programs:

1. Purchase Offer: The program is directed towards the individual purchasing or leasing a new Toyota vehicle as defined and governed by these Offer Terms & Conditions; and
2. Retweet Sweepstakes (the “Sweepstakes”): The program is open to certain participants that Retweet a pre-populated Shareathon message, as governed by the Sweepstakes Official Rules available at toyota.com/shareathon/sweepstakes-rules.

Beginning on Monday, December 12, 2011 at 11:00 a.m. Eastern Time (“ET”) through Thursday, December 22, 2011 at 10:59 a.m. ET (“Promotion Period”), up to one hundred forty (140) certificates (each an “Offer” or collectively, “Offers”) will be made available each day. For purposes of these Purchase Offer Terms & Conditions, a “day” is defined as any twenty-four (24) hour period during the Promotion Period beginning at 11:00 a.m. ET and ending at 10:59 a.m. ET the following day. Each Offer can be redeemed for a minimum $500/maximum $1000 prepaid debit card (“Card”) if the recipient purchases or leases a new 2011 or 2012 Toyota vehicle (a “Qualified Purchase”) between December 12, 2011 and January 3, 2012 and is in full compliance with these Purchase Offer Terms & Conditions. Offer is only valid in the forty-eight (48) contiguous United States and Alaska to those eighteen (18) years of age or older or the age of majority in their state of primary residence (“Participant”). Participant must be a registered-user of Twitter. Registration on Twitter is free and can be obtained at twitter.com. The sponsor of this Promotion is Toyota Motor Sales, U.S.A., Inc., 19001 South Western Avenue, Torrance, California, 90501(“Sponsor”). Void in Hawaii, Puerto Rico and where prohibited by law.

To obtain the Offer, Participants must visit toyota.com/shareathon (the “Website”). Participants must follow the on-screen instructions to log into their Twitter account. Once logged in, Participants will be provided a pre-populated message to Tweet, according to the on-screen instructions. The Tweet cannot be edited or modified; any/all participation must be initiated via the Website. Once the Tweet has been posted; the Participant will be directed to the online verification form. Participant must fully and accurately complete the verification form in order to receive the Offer certificate; Participant will receive an email with Offer certificate and certificate code number. The minimum Offer value is $500; the Offer value will be increased in $50 increments to a maximum of $1000 through Retweets initiated within forty-eight (48) hours of the Participant’s original Tweet. Such increase in Offer value, if applicable, will be associated with the certificate code number and automatically applied during the redemption process, as described below. Offers will be available on a first-come, first-serve basis each day of the Promotion Period. Unclaimed daily Offers, if any, will not roll over to the subsequent day. Once all Offers have been redeemed for a given day; a notice will be posted on the toyota.com/shareathon site to inform potential Participants that the Offer is no longer available on such day. Limit one (1) Offer per person or household address throughout the Promotion Period, regardless of the number of Qualified Purchases made per person or household address. Employees, owners, shareholders, officers and directors of Sponsor, Sponsor’s local dealer groups and authorized dealers, distributors, Creative Zing Promotion Group (“Administrator”), Excellence in Motion (“Fulfillment Provider”) and each of their respective parent companies, affiliates, divisions, subsidiaries, agents, representatives, promotion and advertising agencies (collectively, the “Promotion Entities”) together with the Immediate Family Members and/or those living in the same household of such persons (collectively, “Household Members”), are not eligible to receive the Offer. For purposes of the Promotion “Household Members” shall mean those people who share the same residence at least three months a year; “Immediate Family Members” shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses; and employees of “local dealer groups, authorized dealers and distributors” shall include individuals employed directly by the local dealer group, authorized dealer or distributor such as sales, mechanical, marketing, operations, and accounting staff. Offers are non-transferable. Offers cannot be sold or bartered; the Offer recipient’s name will be verified during redemption, if applicable.

Once the Participant has completed a Qualified Purchase, Participant must follow the instructions detailed on the Offer certificate to claim the Card. Participant must log onto toyota.com/shareathon/redeem (“Redemption Site”) and enter the Qualified Purchase VIN number, the Offer certificate code and the make of the vehicle. As required by law for tax reporting purposes, any Participant who is eligible to receive a Card valued at $600 or more will need to provide their valid Social Security number. An IRS Form 1099 will be issued to such Participant for the value of the Card for the calendar year in which the Card was received. The information provided by the Participant on the online verification form and the purchase name associated with the VIN number must match; in the event of a discrepancy, Promotion Entities reserve the right to contact the Participant for further verification prior to fulfilling the Card. In the event that information cannot be verified or if there is suspected fraud; the Promotion Entities shall have the right, in their sole discretion, to disqualify any individual and/or void any entries submitted fraudulently, and the Promotion Entities reserve the right to prosecute any fraudulent entries to the fullest extent of the law.

Card will be shipped to the address provided on the verification form within 4-6 weeks. Participant MUST redeem the Offer on the Redemption Site by January 31, 2012 at 11:59:59 p.m. ET or the Offer will be void. Card is valid until February 1, 2013 and is subject to separate Terms & Conditions, available at toyota.com/shareathon/debit-terms-and-conditions.

Promotion Entities are not responsible for incorrect or inaccurate information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Offer.

Participants shall indemnify, defend and hold harmless the Promotion Entities and each of their respective parents, affiliates, divisions, subsidiaries, successors, assigns and licensees, and each of their respective employees, shareholders, officers, directors, contractors, advertising and promotion agencies, agents and representatives (collectively, the “Released Parties”) from and against any and all liability, claims, loss, damage, injury or expense, including reasonable outside attorneys’ fees, arising out of or in connection with any third-party action arising out of or resulting from (i) Participant’s participation in the Promotion and/or (ii) acceptance, possession, use or misuse of the Offer, including without limitation, personal injury, death and property damage arising therefrom. Each Participant authorizes the Promotion Entities to use his/her Twitter handle, Twitter photo, name, voice, likeness, biographical data, city and state of residence in advertising, marketing, programming or promotional materials, worldwide in perpetuity, if applicable, without compensation unless prohibited by law. Promotion Entities are not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Promotion Entities sole discretion, without obligation or compensation.

The Promotion Entities assume no responsibility for any damage to any person’s computer system which is occasioned by participating in the Offer, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, the Promotion Entities are not responsible for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right to modify, extend, suspend, or terminate the Offer if it determines, in its sole discretion, that the Offer is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, and/or feasibility of the Offer.
